Anglo-German Agreement- conditions?

So, let's say that some sort of Anglo-German Agreement is reached somewhere at the beginning of 20th Century ( say before 1904 ). What would be the conditions of UK for such Agreement ( that UK will remain neutral in conflict of Germany/Austro-Hungary with Russia/France )?
 
They would want to limit Imperial ambitious and the size of her surface fleet. It was little Willie's sabre rattling, desire for territory, and desire to build a great navy that got the Brits to back away from them in the years preceeding World War 1. You have to change that attitude for the British to consider making any sort of agreement with them.

Though they are still going to be wary of any one power being dominant on the Continent. So they probably wouldn't outright ally with them.

So, a promise that Germany shall not seek further colonial gains ( more than OTL colonies that is ) and Kaiserliche Marine is set on say 40% of Royal Navy strenghth, would that be enough?

The problem would be the outside factors of the growth, no matter how slow, of the Russian and French fleets. Removing Britain from the equation still has Germany facing two fleets, which really isn't much of a big deal, but France still remains in a position to make life tough for the German merchant marine in the Atlantic.

I'm not sure how such an agreement would be found acceptable to German business if there were to be requirements that German good going abroad should be withdrawn to allow Britain to maintain her dominance in overseas markets.
